Important — Please Read Carefully

These Terms of Service constitute a legally binding agreement between you ("Client") and Voxelyn AI ("we", "us", "our") governing your access to and use of our AI voice receptionist services. By signing our Service Agreement, paying any invoice, or using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

1. Definitions

"Service" means the AI voice receptionist service provided by Voxelyn AI, including deployment and management of a custom AI phone agent (Aria) for your business.

"Client" means the business owner or legal entity that has subscribed to our Service.

"AI Agent" or "Aria" means the custom AI voice assistant built, trained, and deployed by Voxelyn AI to handle inbound calls on behalf of the Client.

"Setup Fee" means the one-time fee charged before build work commences.

"Monthly Fee" means the recurring fee charged each month for continued access to and operation of the Service.

"Included Minutes" means the call minutes included in your plan each calendar month.

"Overage" means call minutes used beyond the Included Minutes in any given month, billed at the applicable overage rate.

2. The Service

Voxelyn AI will build a custom AI voice agent trained on your business information, provision a dedicated US phone number, integrate the agent with your calendar for appointment booking, set up emergency call transfer to your mobile, configure automated SMS confirmations, deliver a functioning agent within the timeframe specified in your plan, and provide weekly or monthly call summary reports as specified in your plan.

The Service does not include providing the Client's own phone system or hardware, integration with platforms not listed in your plan, legal or compliance advice, guaranteed booking or revenue outcomes, or 24/7 human support.

3. Fees and Payment

Setup Fee:

The one-time Setup Fee is due in full before any build or deployment work commences. The Setup Fee is NON-REFUNDABLE once build work has commenced. This covers operator time for agent configuration, script writing, knowledge base training, integration setup, testing, and delivery.

Monthly Fee:

The first month's fee is due before deployment. Subsequent monthly fees are charged automatically on the same date each month.

Overage Billing:

Overage minutes are billed at $0.50/min for Starter, $0.45/min for Growth, and $0.42/min for Pro Founding. Overage invoices are issued within 3 business days of month end and due within 7 days.

Late Payment:

A 7-day grace period applies after the due date. If payment is not received by day 8, the AI agent will be paused. Service resumes immediately upon payment. No credits are issued for paused days.

Accepted Payment Methods:

Stripe, Wise, and Payoneer. All fees are in USD. The Client is responsible for any applicable bank charges or taxes.

Price Changes:

We reserve the right to change pricing with 30 days' written notice. Founding clients with a locked rate will not face increases during their lock-in period.

4. Client Obligations

By using our Service, you agree to provide accurate and complete information in your Onboarding Form, grant necessary access to your calendar and CRM for integration, inform your callers that their calls may be handled by an AI system and may be recorded as required by law, not use the AI agent for any illegal or harmful purpose, not attempt to reverse-engineer or copy our agent configurations, maintain accurate payment details, and comply with all applicable laws governing AI, call recording, and data privacy in your jurisdiction.

5. Intellectual Property

Voxelyn AI retains ownership of the AI agent configuration, call flow scripts, knowledge base structure, and technical build.

The Client retains full ownership of their dedicated phone number, their business data and FAQs provided to train the agent, all call recordings and transcripts, and all leads and bookings generated through the agent.

6. Uptime and Service Availability

Voxelyn AI targets 99.9% uptime for all deployed AI agents. Planned maintenance will be communicated at least 24 hours in advance. Service credits may be applied to the next invoice for verified downtime caused by Voxelyn AI. We are not responsible for downtime caused by third-party platform outages including Retell AI, Twilio, Google, or GoHighLevel.

7. Cancellation and Termination

Cancellation by Client:

30 days' written notice required via email to contact@voxelynai.com. Service continues and is billed until the end of the notice period. No refunds for the remaining current billing cycle.

Termination by Voxelyn AI:

We may terminate immediately and without refund if the Client breaches these Terms, uses the service for illegal purposes, payment is more than 30 days overdue, or the Client provides false information.

Upon termination:

The AI agent is deactivated, the phone number is released to the Client upon request, and the Client may request a data export within 30 days.

8. Limitation of Liability

Voxelyn AI does not guarantee any specific business outcomes including revenue, bookings, or call volumes.

Voxelyn AI shall not be liable for loss of revenue or profits, lost or corrupted data, indirect or consequential damages, damages arising from the AI agent providing incorrect information to callers, damages from third-party service failures, or any claims by the Client's customers arising from their interaction with the AI agent.

Voxelyn AI's total liability for any and all claims shall not exceed the total fees paid by the Client in the three months immediately preceding the event giving rise to the claim.

9. Indemnification

The Client agrees to indemnify and hold harmless Voxelyn AI from any claims, liabilities, or expenses arising from the Client's breach of these Terms, failure to comply with call recording and AI disclosure laws, any claims by the Client's callers arising from use of the AI agent, or any misuse of the service.

10. Confidentiality

Both parties agree to keep confidential any proprietary or business information shared during the service. Voxelyn AI will not disclose Client business information, customer data, or call transcripts to any third party except as required to deliver the service or as required by law.

11. Compliance with Laws

The Client is solely responsible for ensuring their use of the AI agent complies with all applicable laws including call recording disclosure laws, consumer protection laws regarding AI and automated systems, data protection laws such as CCPA, PIPEDA, and the Australian Privacy Act, and telemarketing regulations such as TCPA in the USA.

12. Governing Law

These Terms shall be governed by applicable law. Disputes will first be addressed through good-faith negotiation, then mediation if negotiation fails, before any other legal remedy is pursued.

13. Changes to These Terms

We may update these Terms with at least 30 days' written notice of material changes via email. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
